A special meeting of the Directors of Minerals Mining Corporation was held at the corporation’s principal offices at 12801 Worldgate Dr. Suite 500, Herndon, VA. USA The following resolution was adopted:

Whereas It is deemed advisable and in the best interest of the shareholders of the corporation to enter into an agreement and plan of reorganization the President of the corporation be directed and he is directed to execute such agreement and plan of reorganization and announced Mr. David Yen Chen Te be appointed as new Chief Executive Officer of MMC Taiwan Office to organize a new management team to execute Company new investment commercial strategies in Asian region. In the meantime The Company also announced will give it’s best efforts to insure that the MMC shares trade in Europe Stock Exchange market by end of this year 2007. There were approximately 580 holders of company equity units. No trading or volume is available because the equity units are waiting and pending for approval from an appropriate Stock Exchange before starting to trade. The new management team promised to build the Company into successful enterprise to all Equity Units holders. Mr. Fernando Juan is going to Europe on 5^th August 2007.
